确认了一下,,,是行货,,,,但是没货，是停产的产品了。。。前期几批是DDR3的9600MGS，最后两批是DDR2的9600M>这个机器类似.当年的A8r245Vs-SL,,F8Vn-SL,,神奇的清仓货，，，，有价无市，，基本上买不到。

CONFIDENTIALITY AGREEMENT

Recitals& & & & & & & &
A.The Disclosing Party has agreed to disclose to the Receiving party confidential information relating to its business to enable the Parties to determine whether and, if so, on what terms they will enter into the Potential Arrangement.
B.The Disclosing Party has agreed to disclose (or cause to be disclosed) to the Receiving Party, and the Receiving Party has agreed to use, such confidential information on the terms and conditions of this document.
Operative Provisions
1.Interpretation
1.1Definitions
The following definitions apply in this document.
“Confidential Information” means:
(a)The existence of the Potential Arrangement, and all information relating to the Potential A and
(b)In relation to the Disclosing Party:
(i)All information in any way relating to the Disclosing Party’s business which is identified by the Disclosing Party as confidential at the time of disclosure or of a nature which should reasonably be regarded by the Receiving Party as confidential whether in any form or medium. Tangible or intangible, including, without limitation, any financial information concerning any asset in relation to the Disclosing Party’s business, projections as to profits and estimates in relation to the future performance of the Disclosing Party’s business, names of customers and suppliers, proposed business deals, marketing material, processes or arrangements relating to the Disclosing Party’s business and includes any derived or produced partly or wholly from any of the above information by any person,

(c)was in the public domain when it was given to the Receiving P
(d)becomes, after being given to the Receiving Party, part of the public domain,
Except through improper disclosure by the Receiving P or
(e)Was in the receiving Party’s possession when it was given to the Receiving Party and was not acquired from the Disclosing Party directly or indirectly.
“Government Agency” means a government or government department, a governmental, semi-governmental or judicial person or a person (whether autonomous or not) charged with the administration of any applicable law.
“Loss or Claim” means, in relation to any person, a damage, loss, cost expense or liability (and in particular including any indirect, economic or consequential damage, loss, cost, expense or liability) incurred by the person or a claim, action, proceeding or damage made against the person, including a claim for negligence, however arising and whether present or future, fixed or unascertained, actual or contingent.
“Parties” means the parties to this document and, “Party” means each of them severally.
“Potential Arrangement” means any arrangement between the Parties pursuant to which the Receiving Part undertakes the development, fit-out and refurbishment of the Disclosing Party’s franchise stores.
“Specific Purpose” means the purpose of considering whether, and on what terms, the parties will enter into the Potential Arrangement.
1.2General
In this document, including the recitals, unless the context otherwise requires:
a)A reference to any legislation or legislative provision includes any statutory modification or re-enactment of, or legislative provision substituted for, and any subordinate legislation issued under, that legislation or l
b)The singular includes the p
c)A reference to an individual or person includes a corporation, partnership, joint venture, association, authority, trust,
d)A reference to a recital, clause, schedule, annexure or exhibit is to a recital, clause, schedule, annexure or exhibit of
e)A recital, schedule, annexure, or a description of the parties forms p
f)A reference to any agreement or document is to that agreement or document(and, where applicable, any of its provisions) as amended, novated, supplemented, or replac
g) A reference to any Party in this document or any other document or arrangement includes that the Party’s executors, administrators, substitutes, successors a
h)Where an expression is defined, another part of speech or grammatical form of that expression has a c
i)A reference to a matter being written includes that matter being in any mode of representing or reproducing words, figures or symbols in written form or in a form capable of being red and
j)A reference to a “related body corporate” of a body corporate is to a related body corporate within the meaning of Part 1.2 Division 1 of the Corporations Act 2001 (Cth).
1.3Headings
In this document, headings are for convenience of reference only and do not affect interpretation.
2.RECIPIENT’S ACKNOWLEDGMENTS
2.1Confidential Information
The Receiving Party acknowledges and agrees that the Confidential Information of the Disclosing Party is confidential and is provided to the Receiving Party on the following conditions:
a)That the Receiving Party will treat the Confidential Information of the Disclosing Party as strictly private, con and
b)That the Receiving Party will use the Confidential Information of the Disclosing Party only for the Specific Purpose.
2.2No Liability
Subject to the Parties, or any related bodies corporate of them, entering into an agreement in relation to the Potential Arrangement which provides otherwise, the Receiving Party acknowledges and agrees that the Disclosing Party and its directors, officers and advisers:
a)Make no representations or warranties, express or implied, as to the accuracy, reliability or completeness of the Confidential Information to the Disclosing P and
b)Disclaim all liability, direct or indirect, for any Loss or Claim (whether foreseeable or not) suffered by the Receiving Party, any person related to the Receiving Party or any financier or adviser of or to the Receiving Party or any other person arising out of, or in connection with, any use or (contrary to the terms of this document) reliance by any of them on the Confidential Information of the Disclosing Party.
Subject to the Parties, or any related bodies corporate of them, entering into an agreement in relation to the Potential Arrangement which provides otherwise, the Receiving Party waives any right to seek to recover a Loss or Claim against the Disclosing Party arising out of, or in connection with, any use or (contrary to the terms of this document) reliance by the Receiving Party, any person related to the Receiving Party or any, financier or advised of or to the Receiving Part or any other person of any of the Confidential Information of the Disclosing Party.
2.4No Interest
The Receiving Party acknowledges that it will not derive any right, title or interest, of any nature in any Confidential Information of the Disclosing Party provided to it under this document or otherwise (other than the right to use the information for the Specific Purpose in accordance with this document.)

3.RECIPIENTS OBLIGATIONS
3.1Obligations of Confidentiality
Subject to clause 3.2, the Receiving Party must:
a)Take or cause to be taken such precautions and maintain such security measures as may be necessary to maintain the absolute confidentiality of the Confidential Information of the Disclosing Party:
b)Not, without the prior written consent of the Disclosing Party, disclose, use, reproduce or copy in any way, any Confidential Information of the Disclosing Party otherwise than for the Specific P
c)Not, without&&the written permission of the Disclosing Party, disclose or communicate any Confidential Information of the Disclosing Party to any other person or permit or allow any act, matter or thing to be done or occur whereby any Confidential Information of the Disclosing Party may be ascertained or used by or disclosed or communicated
d)Take or cause to be taken all reasonable steps and precautions to ensure that its employees and officers, and any person to whom disclosure is permitted under paragraph (c ), comply with the Receiving Party’s obligations and
e)Promptly do anything reasonably required by the Disclosing Party to prevent or restrain a breach or suspected breach of this document or any infringement or suspected infringement by any person of the Disclosing Party’s rights under this document.
3.2Exceptions to obligations of confidentiality
The acknowledgments and obligations in clauses 2.1 and 3.1 do not apply to the Receiving Party to the extent that disclosure of any Confidential Information is required to comply with any applicable law or requirement of any regulatory body or Governmental Agency (including any relevant stock exchange) and the Receiving Party immediately gives notice to and consults with the Disclosing Party to the extent practicable and uses its best endeavors consistent with its obligations to minimise any such disclosure (and, if appropriate, cooperates with the Disclosing Party in doing so) and to ensure that any Confidential Information so disclosed will be treated confidentially.
3.3Return of confidential information
a)If negotiations between the Parties in relation to the Potential Arrangement cease (for whatever reason), the Receiving Party must, and must ensure that all other persons who have had access to Confidential Information of the Disclosing Party:
(ii)If the Disclosing Party so agrees, destroy,
all confidential information of the Disclosing party and all copies of such information and all documents and material containing, recording or referring to Confidential Information of the Disclosing Party which is in its or their possession, power or control, within 5 Business Days of such cessation.
b)At the request of the Disclosing Party at any time, the Receiving Party must, and must ensure that all other persons who have had access to Confidential Information the Disclosing Party:
(iv)If the Disclosing Party so agrees, destroy,
all confidential information of the Disclosing Party and all copies of such information and all documents and material containing, recording or referring to Confidential Information of the Disclosing Party which is in its or their possession, power or control, within 5 Business Days of such request.
c)Upon request by the Disclosing Party and at any time, the Receiving Party must promptly provide the Disclosing Party with written confirmation that it has compiled with all its obligations under paragraph (a) or (b) as the case may be.
4.INDEMNITY
4.1Indemnity for breach by Receiving Party
The Receiving Party indemnifies, and will keep indemnified, the Disclosing Party against any Loss or Claim to the extent that the Loss or Claim arises from or is connected in any way with any breach of any term of this document by the Receiving Party.
4.2Equitable relief
The Receiving Party acknowledges that the monetary damages may not be a sufficient remedy for any breach of the terms of this document and that the Disclosing Party will be entitled to equitable relief, including injunction and specific performance, as a remedy for such breach. Such remedies will be in addition to all other legal and / or equitable remedies that may be available.
5.LAW AND JURISTICTION
5.1Governing Law
The document is governed by the law in force in the State of New South Wales.
5.2Submission to jurisdiction
The Parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts which may hear appeals from those courts in respect of any proceedings in connection with this document.
6.1Counterparts
This document may be executed in any number of counterparts and all of those counterparts taken together constitute one and the same instrument.
6.2Attorneys
Any attorney who executes this document on behalf of a Party declares that the attorney has no notice of the revocation or suspension by the grantor or in any manner of the power of attorney under the authority of which the attorney executes this document.
The non-exercise of or delay in exercising any power or right of a Party does not operate as a waiver of the power or right, nor does any single exercise of a power or right preclude any other or further exercise of it or the exercise of any other power or right. A power or right may only be waived in writing, signed by the Party to be bound by the waiver.
6.4Amendment
This document may only be amended or supplemented in writing, signed by the Parties.
6.5Further assurance
Each party must do, sign, execute and deliver and must procure that each of its employees and agents, does, signs, executes and delivers, all deed, documents, instruments and acts reasonably required of it or them by notice from another Party to effectively carry out and give full effect to this document and the rights and obligations of the Parties under it.
6.6Costs Generally
Each Party must bear and is responsible for its own costs (including, without limitation legal costs) in connection with the negotiation, preparation, execution, completion and carrying into effect of this document.
6.7Rights cumulative
The rights and remedies provided in this document are cumulative with and do not exclude any rights or remedies provided by law.
6.8No assignment
The obligations of the Parties under this document are not assignable.
